Significant minority shareholders are increasingly opting to exercise their voting rights in Switzerland as well (voice instead of exit). In order to achieve majorities for their concerns, they rely on support from their fellow shareholders. The Zurich dissertation examines the permissibility, possibilities and limits of soliciting shareholder votes (voting campaigns) in Swiss public companies. Aspects of corporate, stock exchange and competition law are illuminated from the point of view of the shareholder who is conducting or considering a voting campaign and the board of directors who is confronted with it or wants to take preventive measures. The work is intended to serve as a practical aid for the parties involved and advisors, while at the same time providing a scientific review of the current situation and accompanying the ongoing revision of stock corporation law.
