The Management Board remuneration represents a key mechanism of corporate governance. The Act Implementing the Second Shareholders' Rights Directive (ARUG II) places new requirements on the design and publicising of management board remuneration. The author subjects the changes to the remuneration-related corporate governance mechanisms to a comprehensive normative and empirical-descriptive analysis. It is analysed whether ARUG II improves corporate governance in Germany. By developing principles for board remuneration, Laura Bundle standardises further requirements for the conception and publication of board remuneration.
