For almost a hundred years, the legal provisions of corporate law were hardly changed. It was only in recent years that lawmakers recognized the need for modernization in corporate law. Initially, the regulations for the formation of companies, including public limited companies, limited liability companies, and cooperatives, were standardized and significantly simplified. Since this standardization proved effective in practice, a partial revision of corporate law became necessary, which came into effect on July 1, 2016. This brought about an even greater harmonization of the rules for company formation for commercial companies and cooperatives. At the same time, the practice of corporate law was also made easier. This commentary aims to assist in navigating corporate law and current practices more effectively. It is intended to provide quick access to the information necessary for practitioners and also to offer suggestions and food for thought for academia.
