This manual presents software contracts and their key clauses. Each part of the book is dedicated to a specific contract: the first part covers the system contract, the second part addresses the long-term software transfer, the third part focuses on the temporary software transfer, and finally, the fourth part discusses the software maintenance contract. The discussions on the contracts are divided into individual chapters, corresponding to the clauses of the respective software contract. The chapters are structured into three sections: explanations of dispositive law, discussions on contract design with explanations of typical contract clauses, and keywords with experiences and practical tips for contract design. In the second edition, new topics include temporary software transfer (among others, with Application Service Providing and Cloud Computing) as well as chapters on software antitrust law and open source software. The other parts have been extensively revised and updated. The book is aimed at all legal professionals dealing with software contracts.
