Since the last edition of this book, a number of important legal changes have come into effect, foremost among them the comprehensive renewal of corporate law with over 160 amended or new articles. The commercial register law has also been completely revised. Changes of varying scope can be found in areas such as limited liability companies and cooperatives, associations and foundations, as well as in accounting law.

These developments in theory and practice necessitated a new edition of this long-established standard work. The new edition provides a comprehensive presentation of Swiss corporate law and its related fields, up to date.

Despite numerous changes and additions, the objective remains unchanged: the book is intended to serve as a foundation for study and also as a primary source of information for practitioners. To facilitate this dual use, the fundamentals are printed separately from the more advanced references to specific issues, literature, and case law.
