Through electronic trading systems (OTC platforms), banks facilitate over-the-counter trading of stocks of medium-sized companies that are not listed on an exchange. The starting point of this work is the fundamental question of distinguishing between exchange trading and over-the-counter trading forms. To this end, a legal comparison is made between the Swiss legal system, both under the aBEHG and the FinfraG that has been in effect since January 1, 2016, and the legal systems of the USA and the EU. Based on these findings, the questions regarding the necessity of regulation and the applicable supervisory and trading legal frameworks of OTC trading are addressed.
