Reformbedarf im Aktienrecht

Since the enactment of the Stock Corporation Act nearly 60 years ago, the reality of stock corporations and the regulatory environment have changed significantly. Although the legislator has responded to these changes with a large number of notable reform laws, these have often been rather specific in nature and frequently prompted by requirements of Union law. This highlights the need for a comprehensive reform of stock law.

A working group supported by the Society for Corporate Law (VGR), consisting of 26 prominent experts in stock law, has taken on the task of developing proposals for a major reform of stock law. No one can articulate the intention better than the VGR. The proposed regulations are numerous and cover all areas of a stock corporation's life: capital, articles of association, creditor protection, management board, supervisory board, general meeting, organizational liability, legal consequences of erroneous annual financial statements, special representatives, minority rights, as well as group law, extending to digitalization and AI. All these proposals, along with detailed justifications, can be found in this volume.
