The Merger Act fundamentally reorganized Swiss law on the adaptation of the legal structures of companies and, in particular, created a general order for mergers and divisions of various types of companies. One of the explicit objectives of the Merger Act is to ensure transparency in restructurings and, concomitantly, to protect shareholders, namely those with minority shareholdings. This Zurich dissertation examines and analyzes the merger law provisions protecting shareholders as well as holders of participation and dividend-right certificates in mergers and demergers under the Merger Act.
