The GmbH & Co. KG is a combination of two legal forms, namely the classic limited partnership as a partnership and a GmbH (limited liability company). The GmbH & Co. KG is understood as its own legal form. In the GmbH & Co. KG, the general partner, who is legally liable with her entire assets for the obligations of the KG, is a GmbH. Therefore, the GmbH & Co. KG allows for liability limitation for the shareholders behind the company. The shareholders of the general partner GmbH are only liable with their contributions to the GmbH. The liability of the limited partners is limited to their registered capital contribution in the commercial register and, if applicable, to any additional contributions made or formed by retained earnings. The partnership agreement of the GmbH & Co. KG is flexible and can be tailored to the individual requirements and goals of the company.
