The formation of a GmbH becomes digital - from 1 August 2022, the formation of a GmbH/UG in Germany will be possible completely online. The notary will remain involved as an essential actor in the formation process. In his work, the author analyses the digital formation procedures in Germany and Austria and deals decisively with the notarial functions in the face-to-face formation procedure and their equivalent transfer to the online formation procedure. In addition, the author makes a further article on the discussion of whether the online notarisation procedure should be extended to other corporate law measures.
