Die GmbH als attraktive Rechtsform in Europa: Die Reform des GmbH-Rechts durch das MoMiG

The legal form of the GmbH has developed over the past 100 years into the most successful corporate structure for limited liability companies. Nevertheless, the legislator has set out to extensively reform and modernize this legal form, which has not significantly changed for a long time, with the MoMiG. This work first presents the history of the establishment and development of the GmbH to illustrate its significance and success. Key milestones include the historical legislative process and the changes and reform attempts made to the GmbHG in the following years. Subsequently, foreign, particularly European, legal forms are introduced as seemingly growing competitors to the GmbH, highlighting their disadvantages compared to the German GmbH. Before discussing the changes proposed in the draft bill, current issues faced by the GmbH prior to the MoMiG are outlined. The main part details and evaluates the individual changes in the draft bill to identify potential alternatives, problems, and possible solutions.
