Since the end of the Soviet Union, a large number of joint ventures have been established as part of a lively economic exchange between Germany and Russia. A central legal significance in these ventures was attributed to the foundational agreement shaped autonomously by the parent companies. This agreement had to reconcile conflicting interests of the parent companies, particularly regarding the management of the joint venture, the influence of the parents, and their legal structure. The scientific study captures and explains these management structures and highlights potential tensions. The findings of the study are compared with the regulations of a model foundational agreement from practice. An extensive legal-dogmatic examination of the foundational agreement in Russian law is presented, including aspects such as legal nature, contract type, and permissible content of regulations.
