The profit-sharing loan has long existed in the shadows. In legal literature, it was mainly mentioned due to its similarity to silent partnerships. A civil and capital market law analysis was only sporadically conducted due to a lack of genuine practical relevance. However, the public perception of the profit-sharing loan has changed in recent years, significantly influenced by crowdfunding. The author addresses civil and capital market law questions that become relevant when financing a company with profit-sharing loans. This is followed by an economic analysis of whether the profit-sharing loan is a good or bad instrument for corporate financing.
