About the Work
The work covers the most common types of transformations in business life across five chapters: merger, division, real division, spin-off/contribution/exchange, and change of form. These restructurings are presented for the most common legal forms such as AG, AG & Co. KG, GmbH, GmbH & Co. KG, oHG, and PartG using numerous forms. Each form includes all templates relevant to the respective restructuring: contracts, shareholder resolutions, registration applications, costs, etc.
In designing the form book, a systematic structure was not applied; instead, a case-based approach was chosen. Each form text is preceded by "Fundamental Notes," followed by detailed explanations of each individual paragraph of the respective form in the "Individual Explanations."
With Form CD and Online Updates
With the accompanying CD, which contains all form texts, you can edit the forms in a word processing program. All purchasers of the book have access to the online version, which also includes all cited judgments, decrees, and laws. Furthermore, the forms and explanations in beckonline are regularly updated.

Regarding the New Edition
As of November 1, 2022, all changes to the UmwStG and KStG that have occurred since the last edition have been incorporated, including: First Corona Tax Relief Act, Tax Deduction Relief Modernization Act, Law for the Modernization of Corporate Tax Law (option under § 1a KStG). Additionally, the affected forms already extensively address the changes established by the Law for the Modernization of Partnership Law. With the MoPeG, the legislator has made long-awaited changes.
