Product details
The Bond Act allows for changes to bond terms based on majority resolutions of creditors both inside and outside of restructuring situations. This enables subsequent contract adjustments without the individual consent of each investor. The thoroughly revised second edition examines the impact of general rules on issuance practices, carefully evaluating previous application experiences and case law. The (procedural) regulations regarding majority resolutions and creditor representation are explained in detail, with illustrative options for action provided. Among other topics: - To which bonds is the Bond Act applicable? - What should be considered when issuing a bond, and what do the transparency requirement and the principle of 'collective binding' mean for bond terms? - What requirements exist for convening a creditors' meeting, and what measures can creditors decide on? - When are majority resolutions of creditors binding, and what legal protection options are available against them? The introduction of electronic bonds under the eWpG is already practically addressed. Important individual issues, such as the applicability of general terms and conditions law to bond terms, are also analyzed in depth.
